The Short Version
What every client should know.
- →Deposits reserve your spot and start our work, so they are non-refundable once we schedule, design, or order.
- →Custom and special-order equipment cannot be returned once ordered.
- →Scope changes happen in writing, and your signed proposal is the detailed deal.
- →Studio bookings need 48 hours notice to reschedule.
- →Questions about a charge? Talk to us first. We will make it right if we got it wrong.
This summary is for convenience. The full Terms below are the binding agreement.
Section 01
Who We Are and How These Terms Apply
These Terms and Conditions ("Terms") are an agreement between you ("Client," "you") and Kaizen Media Group ("KMG," "we," "us," "our"), headquartered in DeKalb County, Georgia. They apply to every use of this website and every service we provide, including audio, video, and lighting (AVL) design and installation, network and IT infrastructure, security systems, podcast studio rentals and memberships, strategic consulting, AI implementation, managed services, and any related equipment, software, or deliverables (together, the "Services").
You accept these Terms when you do any of the following: sign or electronically accept a proposal, quote, estimate, statement of work, or invoice from KMG; pay any deposit or invoice; book studio time; submit a project inquiry or intake form; allow our team to begin work; or continue to use the Services after receiving these Terms. If you are accepting on behalf of a church, ministry, company, or other organization, you confirm you are authorized to bind that organization.
By accepting, you confirm that you have read and understood these Terms, that you had the opportunity to ask us questions and to consult your own advisor before agreeing, and that you are not relying on any promise that is not written into these Terms or your signed proposal. Choosing not to read these Terms does not change the fact that they apply.
Section 02
How Our Agreements Fit Together
Most projects include a written proposal, quote, or statement of work (a "Proposal") that describes scope, pricing, schedule, and deliverables. The Proposal and these Terms together form the full agreement. If they conflict, the signed Proposal controls for that specific project, and these Terms control everything else.
Purchase orders, vendor forms, or terms supplied by you do not add to or change this agreement unless an authorized KMG officer signs them and specifically states that they override these Terms.
Section 03
Proposals, Quotes, and Pricing
Proposals are valid for thirty (30) days from the date issued unless stated otherwise. After that, pricing and availability may change.
Equipment pricing depends on manufacturers, distributors, freight, tariffs, and supply conditions that are outside our control. If a supplier increases cost before your order is placed, we will notify you and may adjust pricing accordingly before proceeding.
Results from our online Estimator, budget conversations, emails, and verbal ranges are planning estimates only. They are not binding quotes. Only a written Proposal issued by KMG sets your price.
Unless your Proposal states otherwise, pricing does not include permits, engineering stamps, electrical work by a licensed electrician, structural modifications, patching and painting, lift rentals, after-hours labor, or applicable taxes.
Section 04
Deposits and Payment Terms
A deposit is required to reserve your place on our schedule and to authorize equipment procurement. Your project is not scheduled, and equipment is not ordered, until the deposit clears. Unless your Proposal states otherwise:
- →Installation projects: 50% deposit at signing, 40% upon equipment delivery or start of installation, and 10% at substantial completion.
- →Consulting, design, and AI implementation engagements: 50% at signing, balance due on delivery, or as billed by milestone.
- →Managed services and subscriptions: billed monthly in advance.
- →Studio rentals: paid in full at the time of booking.
Invoices are due upon receipt unless your Proposal states other terms. Balances not paid within fifteen (15) days of the due date accrue a late charge of 1.5% per month, or the maximum amount permitted by law if lower, on the unpaid balance.
If any payment is late, we may pause work, withhold deliverables, credentials, and system handoff, and reschedule your project to the next available opening once your account is current. Delays caused by late payment do not extend any warranty or obligate us to hold crews or pricing.
You agree to pay all reasonable costs we incur to collect past-due amounts, including collection agency fees, court costs, and reasonable attorney fees, to the extent permitted by Georgia law. Payments by credit card may include a processing surcharge of up to 3%, where permitted by law and card network rules. Returned payments incur a fee of $35 or the maximum allowed by law.
Section 05
Cancellations, Refunds, and Returns
Once you commit to a project, we immediately begin reserving labor, ordering equipment, and investing design time on your behalf. Because those resources cannot be recovered, our refund policy is as follows:
- →Deposits are non-refundable once your project has been scheduled, any design or engineering work has begun, or any equipment has been ordered.
- →Labor, design, engineering, programming, consulting, and project management already performed are non-refundable.
- →Special-order, custom-configured, built-to-order, and non-stock equipment cannot be cancelled or returned once ordered.
- →Standard stock equipment may be returned only if the manufacturer or distributor approves the return. Approved returns are subject to a restocking fee of at least 25% of the item price, plus all freight and handling costs, and any additional fees charged by the supplier.
- →Software licenses, subscriptions, cloud services, warranties, and service plans purchased for you are non-refundable once activated or registered.
- →Delivered digital work, including designs, drawings, reports, strategy documents, configurations, recordings, and edited content, is non-refundable once delivered.
If you cancel a project after acceptance, you remain responsible for all work performed through the date of written cancellation, all equipment and materials ordered, all non-recoverable costs we have incurred, and any cancellation fee stated in your Proposal. Amounts already paid are applied to those obligations first.
Managed services and subscriptions may be cancelled with thirty (30) days written notice. Fees already billed are non-refundable, and we do not issue prorated refunds for partial months. Any minimum term stated in your Proposal applies.
Consulting sessions and scheduled site visits may be rescheduled once without charge with at least forty-eight (48) hours notice. Sessions cancelled with less notice, or missed, are considered delivered.
If we are unable to perform a service we committed to, for reasons within our control and not caused by you, your remedy is a credit or refund of amounts paid for the specific portion of service we did not perform.
Section 06
Podcast Studio Rentals and Memberships
- →Bookings are confirmed only after full payment is received.
- →You may reschedule a booking at no charge with at least forty-eight (48) hours notice, subject to availability. Bookings cancelled or rescheduled with less than 48 hours notice, and no-shows, are forfeited and non-refundable.
- →Your session begins and ends at the reserved time. Late arrivals do not extend your session. Time used beyond your reservation is billed at our current hourly rate in 30-minute increments.
- →Membership hours and reserved days are use-it-or-lose-it. Unused hours do not roll over, transfer, or convert to credit or cash. Memberships renew monthly until cancelled with thirty (30) days written notice.
- →You are responsible for all members of your party, including guests and crew. You agree to pay for any damage to the studio, equipment, furniture, or facility caused by you or your guests, beyond normal wear.
- →Food, drinks, smoking, vaping, and open flames are not permitted near equipment. KMG staff may end a session without refund if conduct is unsafe, unlawful, or damaging.
- →You are solely responsible for the content you record, including obtaining permission from guests and rights to any music, video, or other material you use. You agree to indemnify KMG for any claim arising from your content.
- →You own your content. We do not publish your recordings without your permission. We are not responsible for retaining your files after your session, so please download your media before you leave or within the delivery window we provide.
- →The facility is monitored by CCTV and access control for everyone's safety. By entering, you consent to being recorded on security cameras.
Section 07
Change Orders and Scope
Your Proposal defines the scope of work. Anything not specifically listed is not included. Additions, removals, substitutions, relocations, or design changes requested after acceptance require a written change order, which may adjust price and schedule.
Change orders may be approved by email, text, electronic signature, or in our project systems by you or anyone you have designated as a project contact. Work performed at your direction without a signed change order is still billable at our standard rates.
If an item is discontinued or unavailable, we may substitute equipment of equal or better function and notify you. Substitutions that change price require your approval.
Section 08
Your Responsibilities
Great projects are a partnership. To keep yours on schedule, you agree to:
- →Provide safe, clear, and timely access to the work site during scheduled hours.
- →Provide accurate information about your site, systems, existing equipment, building conditions, and goals. We rely on what you tell us.
- →Provide adequate power, network connectivity, internet service, and climate control required for the systems being installed, unless included in the Proposal.
- →Obtain any landlord, HOA, owner, or facility approvals, and permits not specifically included in your Proposal.
- →Designate a decision-maker who can approve changes, answer questions, and sign off on completion.
- →Secure the area and your property. KMG is not responsible for items left unsecured in work areas.
If our crew arrives as scheduled and cannot work because of site conditions, lack of access, other trades, or incomplete client-side items, return trips and idle time are billable. Hidden or unforeseen conditions, such as concealed damage, code violations, outdated wiring, inaccessible pathways, or asbestos and other hazards, may require a change order. We will not work in unsafe conditions.
Section 09
Schedules and Delays
Schedules and completion dates are good-faith estimates, not guarantees. They depend on equipment lead times, site readiness, other trades, approvals, and your timely decisions. KMG is not liable for losses resulting from delays outside our direct control. Event dates do not create a guaranteed deadline unless your Proposal expressly includes a guaranteed completion date.
Section 10
Completion, Acceptance, and Punch Lists
When work is substantially complete, we will notify you and offer a walkthrough or training session. You have five (5) business days after that notice to send us a written punch list of material items that do not conform to the Proposal.
Your project is considered accepted, and final payment is due, at the earliest of: (a) your written sign-off; (b) the end of the five business day review period without a written punch list; or (c) your use of the system for its intended purpose, such as in a service, event, production, or business operation. Minor punch list items do not delay acceptance or final payment; we will complete them promptly.
Section 11
Warranty
Equipment is covered only by the manufacturer's warranty, which we pass through to you. We will help you process manufacturer claims during our workmanship warranty period.
KMG warrants its installation workmanship for ninety (90) days from acceptance, unless your Proposal states a different period. If a workmanship defect appears during this period, we will repair it at no charge for labor. This warranty is void if the system is modified, moved, repaired, reprogrammed, or serviced by anyone other than KMG, or if the issue is caused by misuse, neglect, power events, lightning, water, pests, accidents, third-party software or service changes, internet outages, or normal wear.
Warranty service is scheduled during normal business hours. Emergency, after-hours, and weekend service is billable unless covered by a managed services plan. Repair or replacement as described above is your sole and exclusive remedy for any warranty claim.
EXCEPT FOR THE EXPRESS WARRANTY ABOVE, THE SERVICES, EQUIPMENT, SOFTWARE, AND WEBSITE ARE PROVIDED "AS IS." TO THE FULLEST EXTENT PERMITTED BY LAW, KMG DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT SYSTEMS WILL BE UNINTERRUPTED OR ERROR-FREE.
Section 12
Security Systems Notice
Cameras, access control, alarms, and related systems help reduce risk, but no system can prevent every loss. KMG is not an insurer, and our pricing is not based on the value of your property or the risk of loss. You are responsible for obtaining insurance that covers theft, injury, property damage, and other losses.
KMG does not guarantee that any security system will detect, deter, record, or prevent any intrusion, theft, injury, or incident. Unless a written monitoring agreement is in place, KMG does not monitor your systems and is not responsible for responding to events. You are responsible for compliance with recording, privacy, and signage laws that apply to your use of cameras and access control, and for how footage and access data are used.
Section 13
IT, Network, Data, and Cybersecurity
- →You are responsible for maintaining current backups of all data before and during our work. KMG is not responsible for lost, corrupted, or inaccessible data.
- →No network or security configuration can guarantee protection from cyberattacks, ransomware, outages, or breaches. KMG does not guarantee that your systems will be free from intrusion or downtime.
- →You authorize KMG to remotely access systems in scope as needed to deliver the Services.
- →You are responsible for safeguarding your passwords and credentials after handoff, and for the actions of your users and other vendors.
- →Internet service, cloud platforms, and third-party software are provided by their own vendors under their own terms. KMG is not responsible for their outages, pricing changes, or policy changes.
Section 14
AI Implementation and Third-Party Platforms
AI tools and automation platforms are provided by third parties and change frequently. KMG configures and recommends them in good faith, but does not control them and does not guarantee their accuracy, availability, outputs, or results. You are responsible for reviewing AI-generated content before relying on or publishing it, and for compliance with the terms of each platform you use.
Consulting, strategy, and growth recommendations are professional opinions. Outcomes such as revenue, attendance, engagement, cost savings, or efficiency depend on many factors outside our control, and no specific result is guaranteed.
Section 15
Title, Ownership, and Security Interest
Title to equipment and materials remains with KMG until we receive payment in full. Until then, you grant KMG a security interest in all equipment and materials we supply, and you authorize us to file any documents needed to protect that interest. If you fail to pay, we may, to the extent permitted by law, disable software licenses and remote services we provide and recover unpaid equipment.
Nothing in these Terms waives any lien rights KMG has under Georgia law.
Section 16
Intellectual Property
KMG retains ownership of its designs, drawings, system architectures, programming, configurations, templates, processes, know-how, and pre-existing materials. Upon payment in full, you receive a non-exclusive, non-transferable license to use the deliverables for the project they were created for. Content you provide to us remains yours.
Unless you opt out in writing, KMG may reference your organization's name and share photos or video of completed, publicly visible installations in our portfolio and marketing. We will never share confidential information, security layouts, credentials, or private content.
Section 17
Confidentiality
Each party will protect the other's non-public business information, including pricing, proposals, network details, security layouts, and credentials, and use it only to perform under this agreement. KMG proposals, pricing, and designs are confidential and may not be shared with other vendors or competitors for comparison or replication without our written consent.
Section 18
Non-Solicitation
Our team is our greatest asset. During the engagement and for twelve (12) months afterward, you agree not to directly hire or contract with any KMG employee or contractor who worked on your project without our written consent. If you do, you agree to pay a placement fee equal to 30% of that person's first-year compensation, which both parties agree is a reasonable estimate of our recruiting and training costs.
Section 19
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, KMG WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DONATIONS, ATTENDANCE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, OR FOR COSTS OF A CANCELLED OR DISRUPTED EVENT, SERVICE, OR BROADCAST, EVEN IF ADVISED THEY WERE POSSIBLE.
KMG'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS IS LIMITED TO THE AMOUNT YOU ACTUALLY PAID KMG FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE.
These limits apply to every legal theory, including contract, warranty, negligence, and statute, and they reflect the pricing of our Services. They do not limit liability that cannot be limited under applicable law.
Section 20
Indemnification
You agree to defend, indemnify, and hold harmless KMG and its owners, employees, and contractors from any claims, damages, losses, and expenses, including reasonable attorney fees, arising from: your breach of these Terms; inaccurate information you provided; site conditions you controlled; content you created, recorded, or published; your use of security footage or access data; or the acts of your staff, volunteers, guests, or other vendors.
Section 21
Billing Questions and Chargebacks
If you have a question about a charge, please contact us at info@kaizenatl.com within thirty (30) days of the invoice or charge date. We review every concern quickly and in good faith, and most questions are resolved with a single conversation. Charges not disputed in writing within 30 days are considered accepted.
You agree to contact us and give us a reasonable opportunity to resolve any concern before filing a chargeback or payment dispute with your bank or card issuer. Filing a chargeback for Services that were delivered or for amounts that are non-refundable under these Terms is a breach of this agreement. In response to any chargeback, KMG may provide your signed Proposal, these Terms, invoices, communications, work logs, photos, and access records to the payment processor. You agree to reimburse any chargeback fees and collection costs incurred when a dispute is resolved in KMG's favor.
Section 22
Use of This Website
Content on this website, including blog posts, articles, and tools, is provided for general information. It is not professional engineering, legal, financial, or code-compliance advice for your specific situation. You may not copy, scrape, or reuse our content, designs, or branding without permission. We may update or remove website content at any time.
Information you submit through our forms is used to respond to you and provide our Services, and may be stored in our customer management systems. By submitting a form, you agree that we may contact you by phone, email, or text about your inquiry.
Section 23
Electronic Communications and Signatures
You agree that proposals, change orders, approvals, invoices, and notices may be delivered and accepted electronically, and that electronic signatures, click-acceptance, and written approvals by email or text are legally binding, just as a handwritten signature would be. Formal legal notices must be sent in writing to the email address on file for the other party.
Section 24
Events Beyond Our Control
Neither party is responsible for delays or failures caused by events beyond its reasonable control, including severe weather, natural disasters, fire, power or internet failures, supply chain disruptions, manufacturer delays, tariffs, labor shortages, pandemics, government actions, or acts of God. This section does not excuse your obligation to pay for Services performed and materials ordered.
Section 25
Dispute Resolution
We believe most disagreements are solved by honest conversation, and we would much rather sit down with you than stand up in front of a judge. If a dispute arises, both parties agree to first attempt to resolve it in good faith through direct discussion for at least thirty (30) days after written notice.
If the dispute is not resolved, it will be decided by final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, held in DeKalb County, Georgia, before a single arbitrator. Judgment on the award may be entered in any court with jurisdiction. Either party may instead bring an individual claim in small claims or magistrate court, and KMG may bring an action to collect unpaid invoices in the state or superior courts of DeKalb County, Georgia, to which you consent to jurisdiction.
ALL CLAIMS MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.
Any claim against KMG must be filed within one (1) year after the claim arises, or it is permanently barred, to the extent permitted by law. In any arbitration or lawsuit, the prevailing party is entitled to recover its reasonable attorney fees and costs.
Section 26
Governing Law
These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law rules.
Section 27
General Provisions
- →Entire agreement: These Terms and your Proposal are the complete agreement between us and replace all prior discussions, emails, and verbal statements about the same subject.
- →Severability: If any part of these Terms is found unenforceable, it will be enforced to the maximum extent allowed and the rest remains in full effect.
- →No waiver: Our choice not to enforce a provision at one time does not waive our right to enforce it later.
- →Assignment: You may not assign this agreement without our written consent. KMG may use qualified subcontractors and may assign this agreement in connection with a merger, acquisition, or sale of assets.
- →Independent contractor: KMG is an independent contractor. Nothing creates a partnership, joint venture, or employment relationship.
- →Survival: Sections covering payment, refunds, ownership, intellectual property, confidentiality, non-solicitation, warranty disclaimers, limitation of liability, indemnification, and dispute resolution survive completion or termination.
- →Updates: We may update these Terms from time to time by posting a new version on this page. The version in effect on the date you accept a Proposal governs that project. Updated Terms apply to new Proposals, new bookings, and ongoing subscriptions after they are posted.
Section 28
Questions? Let's Talk.
If anything here is unclear, please ask before you sign. We would much rather answer a question today than untangle a misunderstanding later.
